IMPORTANT NOTICE & MANDATORY BINDING AGREEMENT

CRITICAL NOTICE: BPlanWiz is an experimental, early-access beta product and a work in progress. It is currently being deployed, engineered, and evaluated as part of a Minimum Viable Product (MVP) and broader systemic product development initiative.

By accessing, browsing, registering for, entering an invitation code into, or utilizing any functionality of BPlanWiz, you explicitly acknowledge and agree that you have read, understood, and consented to be legally bound by every provision, restriction, and liability waiver contained within these Terms of Use, Privacy Policy, and Disclaimer (collectively referred to as the "Agreement").

IF YOU DO NOT AGREE TO THESE TERMS IN THEIR ENTIRETY, YOU ARE STRICTLY PROHIBITED FROM ACCESSING OR USING BPLANWIZ. ANY UNAUTHORIZED USE VOIDS ALL SERVICE PERMISSIONS AND IS UNDERTAKEN SOLELY AT YOUR OWN RISK.

SECTION 1: ABOUT BPLANWIZ & DEFINITIONS

1.1 Scope of Service

BPlanWiz is an artificial intelligence-driven exploratory business planning interface designed to assist users in structuring, analyzing, mapping, and iterating hypothetical business ideas, operational concepts, and textual business plan frameworks.

1.2 "As-Is" Beta Status

The platform, including its user interfaces, underlying large language model (LLM) prompts, multi-agent AI workflows, vector databases, third-party API integrations, computational pipelines, and resulting data outputs (collectively, the "Service"), is highly experimental. The entire architecture remains under active development and is subject to structural modification, degradation, features being restricted, or complete decommissioning at any moment without prior notification or liability to you.

1.3 Corporate Parties

The Service is owned, operated, and provisioned by BPlan Experts (including its subsidiaries, parent organizations, affiliates, directors, officers, employees, and authorized agents, hereinafter collectively referred to as "the Company", "We", "Us", or "Our"). The term "User", "You", or "Your" refers to any individual or corporate entity accessing the Service.

SECTION 2: BETA AND EXPERIMENTAL ARCHITECTURE WAIVER

2.1 System Flaws and Anomalies

You expressly acknowledge, understand, and accept that experimental AI applications possess inherent operational vulnerabilities. The Service may contain:

Factual inaccuracies, algorithmic biases, and logical anomalies.
System bugs, source code errors, service interruptions, and server downtime.
Severe technical limitations regarding concurrent processing, file handling, and computational scale.
Unstable API behavior originating from third-party model providers.

2.2 Complete Absolution Against Data Loss

The Company utilizes volatile sandbox environments and staging databases for this beta phase. We do not guarantee data persistence, project storage, or output preservation. Projects, financial tables, structural descriptions, and account states may be corrupted, permanently erased, or deleted during routine updates or spontaneous infrastructure failures. You hold sole, unshared responsibility for executing and maintaining independent local backups of any inputs or generated results. The Company is completely absolved of liability for any direct or indirect losses resulting from missing or unrecoverable information.

SECTION 3: ELIGIBILITY, INVITATION MECHANISMS, AND ACCESS TERMINATION

3.1 Age and Legal Capacity

You assert and warrant that you are at least 18 years of age and possess full legal capacity to execute a binding contract under applicable jurisdictions, specifically the laws of India.

3.2 Nature of Beta Invitations

Access tokens, authorization links, or beta invitation keys distributed by the Company constitute a temporary, revocable, and non-transferable personal privilege. They do not convey:

Any equity, partnership interest, or proprietary stake in BPlanWiz or BPlan Experts.
Any guaranteed right to access future commercial, premium, or modified instances of the software.
An entitlement to ongoing technical support, custom development, or priority processing.

3.3 Discretionary Account Suspension

The Company retains the unilateral right to suspend, terminate, throttle, or permanently ban any user account, IP address range, or organization access at any time, for any reason or no reason at all, completely free from any obligation to justify its actions or provide financial or operational compensation.

SECTION 4: NATURE OF AI-GENERATED TEXT AND ABSOLUTE WARRANTY DISCLAIMER

4.1 Probabilistic and Non-Deterministic Outputs

BPlanWiz leverages generative artificial intelligence models. Because these models operate on probabilistic state evaluations, identical user inputs and business descriptors may generate significantly different textual results across separate sessions.

4.2 Explicit Warning on AI Hallucinations

Outputs generated by BPlanWiz may feature:

Fabricated Metrics: Invented market statistics, unsupported growth rates, and fictitious demographic data.
Outdated References: Legal, financial, or market references that do not reflect current shifts in global markets.
Logical and Mathematical Corruptions: Compounding calculation errors within financial model suggestions or cash-flow forecasts.

4.3 Semantic Clarification of Terms

Any marketing materials, UI microcopy, or output headers utilizing terms such as "investor-grade", "strategic alignment", "bank-ready", "professional standard", or "venture-optimized" represent structural styling design targets only. They do not constitute an explicit or implicit guarantee that the resulting output will successfully secure venture capital, bank loans, angel investments, government grants, corporate partnerships, or regulatory licenses.

SECTION 5: NO PROFESSIONAL ADVICE & NO COMMERCIAL OUTCOME GUARANTEES

5.1 Professional Disclaimer

BPlanWiz does not provide professional legal, financial, tax, investment, securities, compliance, or formal management consulting advice. The generation of a business layout or financial estimation table by the Service is intended solely for educational mapping and conceptual ideation. It cannot replace professional human analysis.

Mandatory User Duty: You are legally mandated to independently verify, audit, and cross-reference all textual data and mathematical output produced by BPlanWiz with licensed attorneys, certified public accountants (CPAs), qualified financial advisors, and specialized industry consultants before implementing any business strategy or deploying capital.

5.2 Exclusion of Commercial Outcomes

The Company provides zero assurance regarding the market viability, product-market fit, scalability, profitability, or general economic survival of any enterprise, startup, or product concept developed via the platform. You accept full, unmitigated operational and financial risk for any business actions initiated or abandoned based on the material produced by the platform.

SECTION 6: INTELLECTUAL PROPERTY AND LICENSING MATRIX

6.1 Ownership of Proprietary Assets

The Company retains exclusive title, copyright, trademark rights, patents, trade secrets, and ownership of all underlying technology powering BPlanWiz. This includes, without limitation, the systemic prompt frameworks, database architectures, vector embeddings, customized application workflows, design assets, UX/UI micro-interactions, code repositories (HTML, CSS, JS, Python, etc.), and proprietary business planning templates. No part of these terms grants you a transfer of intellectual property rights.

6.2 User Content & Inbound License Grant

As between you and the Company, you retain ownership over any original textual business concepts, proprietary operational insights, and initial business details that you directly input into the software interface ("User Input").

By submitting User Input into BPlanWiz, you automatically grant the Company a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sub-licensable, and transferable license to host, store, replicate, cache, run automated evaluations on, alter, translate, synthesize, and process your inputs for the explicit operational purposes of generating results, monitoring performance, and fine-tuning or optimizing the software's prompt layers and AI configurations.

6.3 Ownership and Non-Uniqueness of Outputs

Subject to your adherence to this Agreement, you receive a non-exclusive right to utilize, modify, and distribute the textual outputs generated for you by the platform ("User Output"). However, because of the fundamental mechanics of public LLMs, you explicitly acknowledge that:

User Output is not uniquely assigned to you.
Other users entering identical or conceptually similar market prompts may receive identical, substantially overlapping, or indistinguishable text blocks.
The Company cannot guarantee that User Output is free from third-party intellectual property claims or publicly scraped data fragments.
You assume all legal liability and risk if you attempt to seek formal copyright, design patent, or trademark protections for any text generated by the AI system.

SECTION 7: ACCEPTABLE USE AND PROHIBITED ACTIVITES

You expressly warrant and promise that you will not use BPlanWiz to engage in any behavior that breaches international, national, state, or local laws. You are strictly prohibited from:

Reverse-engineering, decompiling, or attempting to extract the underlying prompts, system routing, agent instructions, or source code of BPlanWiz.
Using automated scrapers, headless browsers, data-mining tools, or bots to extract text, architectures, or outputs from the platform without explicit written permission.
Submitting data that infringes upon third-party copyrights, active patents, active trademarks, or binding non-disclosure agreements (NDAs).
Using the platform to generate deceptive, fraudulent, defamatory, or intentionally misleading corporate documents (e.g., fraudulent pitch decks intended to misinform retail investors).
Attempting to breach, probe, test, or bypass the security perimeters, authentication controls, API access walls, or rate-limiting configurations implemented on the platform.

SECTION 8: PRIVACY POLICY & COMPREHENSIVE DATA HANDLING

8.1 Information Collection Scope

The Company collects and processes several layers of information during your registration and use of the early access beta:

8.2 Crucial Confidentiality Warning Regarding Data Submission

CRITICAL DATA EXCLUSION WARNING: BPlanWiz is hosted within an experimental beta architecture leveraging cloud arrays and external LLM API endpoints. You must not submit highly sensitive, regulatory-protected, or high-risk private information into the prompt boxes. Prohibited data points include, but are not limited to:

Personal financial details (e.g., personal bank account routing numbers, payment card numbers).
Government issued identification numbers (e.g., PAN, Aadhaar, SSN, Passports).
Unpublished source code, live server credentials, or unencrypted system configurations.
Unpublished patent claims, trade secrets requiring strict regulatory secrecy, or information protected under active enterprise non-disclosure agreements.

If you choose to submit proprietary business insights, you do so at your own financial and legal peril, fully recognizing the architectural vulnerabilities of early-stage AI implementations.

8.3 Machine Learning Optimization Notice

By utilizing the platform, you acknowledge and agree that your anonymized, aggregated, or de-identified prompts, structured inputs, UI selections, system responses, and general user feedback loops may be thoroughly reviewed, scrubbed, parsed, and processed by the Company's engineering team to stress-test workflows, validate model responses, optimize prompt engineering templates, and improve overall output accuracy. Do not input any concepts you are unwilling to have processed for systemic validation and training purposes.

8.4 Third-Party Technical Providers Matrix

The Service is engineered using Lovable architecture and relies heavily on complex networks of third-party cloud infrastructure, specialized hosting providers (such as Supabase, AWS, or Vercel), remote databases, user authentication protocols, and advanced AI model endpoints (such as OpenAI, Anthropic, or Google Gemini).

You recognize that data transmitted through internet infrastructure relies on systems outside the Company's direct operational control. The Company is completely insulated from any liability arising from third-party server breaches, network drops, data leaks inside LLM API clusters, or regional data center failures.

8.5 Complete Exclusion of Data Sale

The Company does not sell, rent, or trade your personal contact data or specific business concepts to third-party brokers, marketing networks, or independent advertising corporations.

8.6 Legally Mandated Information Disclosures

The Company reserves the right to share your user profiles, logs, and inputs if legally compelled to do so by a court order, a formal subpoena, regulatory investigations by financial authorities, or under explicit requirements specified by Indian federal and state laws.

8.7 User Privacy Rights and Contacts

Subject to specific regional protections and Indian information technology frameworks, you may contact our operations team to request the deletion of your account and personal profile records. Please direct all official privacy matters, data erasure requests, and administrative inquiries to:

SECTION 9: TOTAL DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE JURISDICTIONAL LAW, BPLANWIZ IS PROVIDED EXCLUSIVELY ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS, COMPLETE WITH ALL INHERENT ARCHITECTURAL DEFECTS.

THE COMPANY EXPLICITLY DISCLAIMS ALL WARRANTIES, CONDITIONS, AND REPRESENTATIONS, WHETHER VERBAL, WRITTEN, STATUTORY, IMPLIED, OR EXPRESS. THIS INCLUDES, BUT IS NOT LIMITED TO:

ANY IMPLIED WARRANTIES OF MERCHANTABILITY, OPERATIONAL UTILITY, OR FITNESS FOR A SPECIALIZED BUSINESS PURPOSE.
ANY WARRANTY OF NON-INFRINGEMENT OF THIRD-PARTY CORPORATE INTELLECTUAL PROPERTY RIGHTS.
ANY IMPLIED PROMISE THAT THE PLATFORM WILL RUN SECURELY, FREE FROM OUTAGES, WITHOUT MALWARE INTRUSION, OR WITHOUT TEMPORARY OR PERMANENT TEXTUAL DATA LOSS.

SECTION 10: ABSOLUTE LIMITATION OF LIABILITY AND TOTAL CAP

10.1 Absolute Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT AND UNDER NO LEGAL THEORY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) SHALL BPLAN EXPERTS, ITS OPERATORS, AFFILIATES, DIRECTORS, INVESTORS, EMPLOYEES, OR THIRD-PARTY SUPPLIERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES WHATEVER.

THIS COMPREHENSIVE INSULATION CLAUSE COVERS, WITHOUT LIMITATION:

LOSS OF ACTUAL OR EXPECTED CORPORATE PROFITS, REVENUE, OR VENTURE MARKET SHARE.
LOSS OF COMMERCIAL CONTRACTS, INTELLECTUAL PROPERTY REPUTATION, OR SEED FUNDING OPPORTUNITIES.
LOSS OF ACCOUNT PORTABILITY, SYSTEM RECIPIENCY, OR DATA PERMANENCE.
FINANCIAL LOSSES ARISING FROM THE DEPLOYMENT OF REAL CAPITAL IN RELIANCE UPON THE ERROR-PRONE OUTPUTS GENERATED BY THE SERVICE.
SYSTEM OVERLOADS, TELEMETRY CORRUPTIONS, OR HARDWARE CRASHES CAUSED BY UNEXPECTED SYSTEM METRICS.

10.2 Strict Absolute Liability Financial Cap

IF, NOTWITHSTANDING THE COMPREHENSIVE WAIVERS STATED IN THIS AGREEMENT, A COURT OF COMPETENT JURISDICTION FINDS THE COMPANY LIABLE FOR DAMAGES, THE AGGREGATE LIABILITY OF THE COMPANY FOR ANY CLAIM ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT SHALL BE STRICTLY LIMITED TO AND SHALL NOT EXCEED THE TOTAL SUM OF INR 1,000 (ONE THOUSAND INDIAN RUPEES) OR THE TOTAL AMOUNT FINANCIALLY PAID BY YOU TO THE COMPANY FOR THE DISPUTED SERVICE OVER THE PRECEDING THREE (3) MONTHS, WHICHEVER IS LOWER.

BECAUSE THIS BETA IS PROVISIONED FREE OF COST OR UNDER A LOW-COST EARLY ADOPTER FRAMEWORK, YOU ACKNOWLEDGE THAT THIS LIMITATION REPRESENTS A REASONABLE AND CRITICAL ALLOCATION OF COMMERCIAL RISK, AND THAT WITHOUT THESE ACCORDED WAIVERS, THE SERVICE WOULD NOT BE COMPILABLY ACCESSIBLE OR AVAILABLE TO YOU.

SECTION 11: USER INDEMNIFICATION MANDATE

You agree to defend, indemnify, and hold harmless BPlan Experts, its corporate parents, subsidiaries, directors, executives, engineers, and suppliers from and against any third-party claims, liabilities, damages, losses, civil suits, operational penalties, and legal expenses (including reasonable attorney fees) arising from or relating directly to:

Your direct breach or intentional circumvention of any section of this Agreement.
Your distribution or commercial implementation of any inaccurate or infringing User Output generated by the platform.
Your intentional or accidental submission of legally protected, non-authorized, or highly confidential third-party data into the Service.
Your violation of any applicable domestic or international privacy, data security, or corporate consumer protection laws.

SECTION 12: GOVERNING LAW, FORUM SELECTION, AND JURISDICTION

12.1 Governing Law

This Agreement, alongside all collateral interactions, data-processing pipelines, and legal conflicts emerging from your usage of BPlanWiz, shall be governed by, interpreted under, and constrained exclusively by the laws of India, without regard to conflict of laws principles.

12.2 Exclusive Venue selection

Any formal legal action, civil suit, arbitration, or judicial petition arising directly or indirectly from this platform must be brought strictly and exclusively before the courts of competent jurisdiction located in Kolkata, West Bengal, India. You explicitly consent to the personal jurisdiction and exclusive venue of these specific courts and waive any objections regarding inconvenient forums (forum non conveniens).

SECTION 13: GENERAL STRUCTURAL CLAUSES

13.1 Severability

If any single provision, sub-clause, or phrase of this Agreement is deemed unlawful, completely void, or legally unenforceable by a qualified judicial authority, that specific provision shall be severed from the document. The remaining clauses of this Agreement shall stay in full force, remaining highly executable and binding.

13.2 Entirety of Agreement

This comprehensive Terms of Use, Privacy Policy, and Disclaimer document forms the entire, definitive legal pact between you and BPlan Experts regarding your use of BPlanWiz, effectively superseding all prior verbal agreements, previous marketing claims, beta update emails, or informal text correspondences.

13.3 Modifications to This Agreement

The Company reserves the sole and absolute right to amend, revise, restructure, or completely replace any portion of this Agreement at any time as the platform evolves. Updated versions become effective immediately upon publication on the Platform URL. Your continued access or use of BPlanWiz after such modifications constitutes your binding acceptance of the revised terms. You are advised to periodically revisit this page to remain informed of the current legal framework governing your access.

13.4 No Waiver

No failure or delay by the Company in exercising any right, power, or privilege under this Agreement shall operate as a waiver thereof, nor shall any single or partial exercise thereof preclude any other or further exercise thereof or the exercise of any other right, power, or privilege.

13.5 Assignment

You may not assign, transfer, sublicense, or delegate any of your rights or obligations under this Agreement without the prior written consent of the Company. The Company may freely assign, delegate, or transfer this Agreement and its associated rights and obligations, in whole or in part, to any successor entity, acquirer, or affiliate without restriction and without notice to you.

13.6 Force Majeure

The Company shall not be held liable for any failure or delay in the performance of the Service resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, civil unrest, governmental actions, labor disputes, internet backbone outages, third-party API failures, cyberattacks, or infrastructure disruptions.

13.7 Language

This Agreement is drafted in the English language, which shall be the sole authoritative version for interpretation. Any translated versions provided for user convenience shall have no legal standing in the event of a dispute.

SECTION 14: FORMAL USER ACKNOWLEDGEMENT AND ACCEPTANCE

BY INTERACTING WITH THIS PLATFORM, CREATING AN ACCOUNT, ENTERING AN AUTHORIZATION ACCESS KEY, OR PROMPTING THE BPLANWIZ AI SYSTEM, YOU CONCLUSIVELY SIGNIFY THAT:

You have read, understood, and willingly accepted the absolute terms of this legal agreement.
You recognize the highly experimental beta state of the platform and acknowledge that its outputs are prone to factual errors and logical discrepancies.
You accept that the Company provides no guarantees regarding financial success, investment acquisition, or startup survival based on use of the platform.
You release BPlan Experts and its operators from all operational liabilities and data loss occurrences up to the maximum parameters permitted under the law.
